The present general terms and conditions (“Terms and Conditions”) shall apply to all contracts/sale/purchase which are made with any company, Individual or legal entry (“Client “) for the sale and supplies of Spencer India products or Services.

The amount mentioned in Invoice is inclusive of GST, but if any other tax levies may be applicable to the consignment either at origin en route or destination. Such Levies shall be payable by the buyer.

The buyer is responsible for the correct disposal of the packaging in conformity with the laws.
Buyers indemnify Spencer India of all claims, conflicts or legal proceedings arising out of all information, date, text, software, sound, photographs, graphics, videos, messages or any material (“content “) posted on Spencer India website or privately transmitted.

Buyer is responsible that products once on their works/stores, complies with all Laws and safety processes for their storage & usage

Offers by Spencer India shall not be binding, with reference to quantities, price and delivery orders, the prices mentioned in the Invoice are applicable only for the enclosed Invoice. The similar/matching cannot be offered for other orders or added quantity/repeat orders unless agreed in writing separately with Spencer India.

Prices may, at any time, be changed by Spencer India due to any factor affecting price: raw material, taxation, and insurance charges etc.

Unless otherwise agreed by the parties, 100 % advance payment is required.
If the client fails to comply with payment terms, Spencer India is entitled to suspend delivery or debit interest at current rate. Bank instruments like cheque/DD subject to realization, in case of cheque bouncing, stop payment charges @ 3500 will be charged extra

If the client fails to collect the products within the agreed times, storage costs will be debited by Spencer India for each day of delay in collecting. The products shall remain in Spencer India property until full payment is made.

It is the responsibility of the customer to check the products immediately when receiving them. Any claims as to their quantity and or quality must be notified to Spencer India by means of a registered letter with return receipt or E Mail within eight days from the date of receipt of the products. No claims will be accepted if the Spencer India is not notified as above for any warranty/defects/replacements.

In case product is sold to the third party the Spencer India have no liability for the improper use of the products by the client or by third parties and also not for any injury to persons or damage to property arising of such use. It is responsibility of the buyer to provide training and usage guidelines to the end user.
The Buyer has to warrant that all materials under this Invoice, when used by buyer or its client in the ordinary manner for which they are intended, they shall not violate any of the occupational Safety and Health Laws or any standards or regulations issued there under Indian Laws

Any service/repair/spare part replacement of Spencer India products must be done by Spencer India authorized service centers using original spares parts according to the manufacturer’s instructions
Spencer India Hereby, expressly disclaim any liability and responsibility (including consequentially or incidental for each of return or implied warranty of our products) for any improper repair or service performed by someone other than Spencer India authorized service centers

Warranty doesn’t cover cost damages and faults caused by: incorrect installation and use of the product not conforming to the technical norms or regulations in which the product is used (use which doesn’t conform to the instructions given in the user manual of the product

Warranty doesn’t cover accessories and components. All expenses and risk linked to the transportation of the product from to Spencer India or its authorized service centre shall be borne by the buyer. Warranty is valid if Invoice and warranty card is available with the buyer
The Buyer will keep confidential all methods, techniques, equipment, designs, drawings, specifications, research data, marketing and sales information, provided or know-how of Spencer India as a result of this purchase.

In case goods are exported out of India, buyer shall promptly inform the Spencer India before the date of invoice about all legal requirements where the products will be sold in writing in order to allow the Spencer India to conform to the same regulations, failing which Spencer India do not have any responsibility regarding sales, transportation, taxes, duties, warranty, usage, performance or any issue, if any arises

Spencer reserves the right to supply the latest and most advanced product. In case the product has undergone a development/upgradation, the buyer will accept the upgraded product without any claims.

All disputes shall be subject to the exclusive jurisdiction of the Indian court of New Delhi only
